CLUB MONTHLY PRIZE DRAWING

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE. No purchase of any merchandise is necessary to participate or to win. Void where prohibited by law. Subject to all federal, state and local laws.

TERM. The prize drawings will begin in June, 2009 and will end in May, 2010 ("Drawing Period"). Cargill, Incorporated ("Cargill") reserves the right to reduce or extend the duration of the Drawing Period at its discretion without advance notice.

CAN I PARTICIPATE? Members of the CoroWise™ plant sterols Facebook fan club who are legal residents of the fifty (50) states and the District of Columbia of the U.S.A. and are 18 years of age or older are eligible to participate. Employees, officers and directors of Cargill, its subsidiaries, affiliates and agents, their immediate families (defined as parents, spouses, children, siblings and grandparents) and those with whom such persons are domiciled are NOT eligible to win. Eligibility may be verified at any time.

HOW DO I ENTER? No entry form is needed. You will be automatically entered into monthly drawings when you sign up to become a member of the CoroWise™ plant sterols fan club on Facebook. Cargill reserves the right, at its sole discretion, to cancel, terminate or suspend the promotion should an unauthorized intervention or other cause beyond its control affect the administration, proper play or conduct of the promotion.

PRIZE. One (1) Grand Prize winner will be drawn each calendar month during the Drawing Period and the winner will receive a gift card of $100! Odds of winning depend upon the number of fan members existing on the date of the drawing. Winner is solely responsible for any and all taxes and other fees associated with prize receipt and use.

HOW TO WIN. The potential winner each month will be selected in a random drawing, to be held at the end of each month during the Drawing Period, from among all existing, eligible fan members of CoroWise™ plant sterols. Cargill will notify the winner by Facebook message on or before the 15th day of the following month. The winner must then contact Cargill with his/her mailing address and other required information and a liability/publicity release within fourteen (14) days of being contacted by Cargill. If a winner cannot be contacted for any reason within fourteen (14) days, is ineligible, fails to claim his or her prize, or fails to return the completed and executed releases within the required time, such winner will be disqualified and an alternate winner will be selected by Cargill. All prizes will be awarded.

GENERAL TERMS. These Official Rules will govern the prize drawings and the decisions of Cargill shall be final in all respects. Notwithstanding anything herein to the contrary, all winners agree that Cargill may post a winner’s first name, last name initial and city/state without further compensation (except where prohibited by law) on the CoroWise™ plant sterols Facebook page or on www.corowise.com. To be entered in the random drawing, each fan member agrees to release and hold harmless Cargill and its affiliates, and each of their respective agents, employees, directors and officers from and against any claim or cause of action arising out of participation in the prize drawing or receipt or use of any prize, if awarded.

Cargill is not responsible for lost, interrupted or unavailable network, server or other connections, miscommunications, failed phone, computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, or other errors of any kind whether human, mechanical, electronic or otherwise or for any damage to a member’s or other person’s hardware or software as a result of participation. Cargill reserves the right in its sole discretion to disqualify any individual it finds to be acting in violation of these Official Rules.

PRIVACY NOTICE AND POLICY. It is Cargill’s policy to respect the privacy of its on-line visitors. Cargill’s privacy policy can be found on www.corowise.com.

DISPUTE RESOLUTION. Each fan member agrees that: (1) any and all disputes, claims, and causes of action arising out of or in connection with the prize drawings, or any prize awarded, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place exclusively in a federal or state court within the State of Minnesota; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees; and (3) under no circumstances will a fan member be permitted to obtain awards for, and each member hereby waives all rights to claim punitive, incidental, or consequential damages, any other damages other than actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of members and Cargill in connection with the prize drawings, shall be governed by and construed in accordance with the laws of the State of Minnesota, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Minnesota or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Minnesota.
